Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you," "Customer") and Shermar Trades LLC ("HALO," "we," "us") governing your access to and use of the HALO web application and related services (the "Service") at halocrm.app.

By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

HALO is a software-as-a-service platform that helps local businesses manage their Google Business Profile reviews. Features include review monitoring, AI-assisted draft response generation, and the ability to post owner responses (after your approval) via the Google Business Profile API.

2. Account Eligibility and Registration

• You must be at least 18 years old and legally able to enter into contracts
• You must provide accurate, current information when creating your account
• You are responsible for maintaining the confidentiality of your account credentials
• You must own or have authorized agency access to the Google Business Profiles you connect to HALO

3. Subscription Plans and Billing

HALO is offered on monthly and annual subscription plans. By subscribing, you authorize recurring charges to your payment method via our payment processor (Stripe).

• Growth: $49/month
• Empire: $99/month

Pricing may change with 30 days' notice to existing subscribers.

Cancellation and refunds

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods unless required by applicable law.

4. Acceptable Use

You agree NOT to:

• Post responses that are false, misleading, defamatory, discriminatory, or violate Google's policies
• Use HALO to manage or respond to reviews for businesses you don't own or have authorized agency access to
• Attempt to reverse-engineer, scrape, or circumvent rate limits of the Service or Google APIs
• Use the Service to engage in review manipulation, fake review posting, or other deceptive practices
• Resell, sublicense, or redistribute the Service without written authorization
• Upload malware, engage in denial-of-service attacks, or interfere with the Service's operation

Violation of this section may result in immediate suspension or termination of your account without refund.

5. Your Content and Google Data

You retain ownership of all content you submit to HALO, including owner responses and account data. By using HALO, you grant us a limited license to access, process, and transmit your content solely to provide the Service.

We access your Google Business Profile data only with your explicit authorization via Google OAuth and only for the purposes described in our Privacy Policy. You may revoke this access at any time via your Google account settings.

6. AI-Generated Content

HALO generates draft responses to reviews using artificial intelligence. You are solely responsible for reviewing and approving any response before it is posted to your Google Business Profile. HALO does not post responses without your explicit approval.

We make no warranties about the accuracy, appropriateness, or effectiveness of AI-generated drafts.

7. Third-Party Services

HALO integrates with Google Business Profile (via the GBP API), Stripe (billing), and AI model providers. Your use of these integrations is governed by the respective third party's terms. We are not responsible for issues arising from third-party services.

8. Service Availability

We aim for high uptime but do not guarantee uninterrupted service. Scheduled maintenance, Google API outages, or force majeure events may cause temporary unavailability. We are not liable for losses resulting from Service unavailability.

9. Intellectual Property

The Service, including its software, design, trademarks ("HALO"), and documentation, is the property of Shermar Trades LLC. These Terms grant you a limited, revocable, non-exclusive license to use the Service during your active subscription.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHERMAR TRADES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Shermar Trades LLC from any claims, damages, or expenses arising from (a) your misuse of the Service, (b) your violation of these Terms, or (c) content you post via HALO that violates third-party rights or applicable law.

13. Termination

Either party may terminate your account at any time. Upon termination, your access to the Service ends immediately, and we will delete your data within 90 days per our Privacy Policy (except where retention is legally required).

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws rules. Any disputes shall be resolved in the state or federal courts located in Philadelphia County, Pennsylvania.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice in the Service at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
