Terms of Service
These Terms of Service ("Terms") govern your use of HALO, a reputation management and communication platform operated by Shermar Trades LLC ("HALO," "we," or "us") at halocrm.app. By creating an account or using HALO, you agree to these Terms.
1. Who can use HALO
HALO is a B2B service for U.S.-based small businesses. You must be 18+ and have authority to bind your business to an agreement. Individual consumer use is not permitted.
2. Your account
- You are responsible for keeping your login credentials secure.
- You are responsible for every action taken on your account.
- One account per business entity. Multi-location plans available on Pro tier.
- Notify us at shermar@halocrm.app immediately if you suspect unauthorized access.
3. Connected third-party services
HALO connects to third-party platforms (Google Business Profile, Yelp, Facebook, Twilio, Stripe) on your behalf via OAuth or API. You confirm that you have the right to grant HALO access to these services for the business you represent.
Your use of those third-party services is also governed by their own terms. We are not responsible for downtime, policy changes, or account actions taken by those third parties.
4. What HALO does — and does not — do
HALO does:
- Draft review responses and profile posts using AI, for your human approval.
- Publish posts, photos, and approved review replies to your connected profiles.
- Answer your business phone line 24/7 on Growth and Pro plans via Twilio + AI Receptionist.
- Alert you to new reviews and respond-worthy events.
HALO does not:
- Guarantee specific review counts, ratings, or search rankings — reputation outcomes depend on the actual quality of your customer service.
- Publish fake reviews, buy reviews, or attempt to remove legitimate negative reviews through manipulation — such practices violate Google, Yelp, and Facebook policies and we will not do them.
- Replace legal or tax advice. We are not your lawyer or accountant.
5. Payment and billing
- Plans are billed monthly in advance via Stripe.
- Starter: $297/month · Growth: $397/month · Pro: $497/month.
- Taxes are your responsibility unless otherwise noted.
- Failed payments retry automatically for 7 days; accounts with unpaid balances over 14 days are suspended.
6. Cancellation and refunds
- You may cancel at any time from your account dashboard or by emailing shermar@halocrm.app.
- Cancellation is effective at the end of the current billing period. We do not pro-rate refunds for the current month.
- 30-day satisfaction guarantee: If you are not satisfied with your first month, email us within 30 days of your first payment and we will refund the full first-month charge. One guarantee per customer.
- After cancellation, your data is retained for 30 days (in case of reactivation), then permanently deleted. See our Privacy Policy.
7. Acceptable use
You agree not to use HALO to:
- Violate any law, including consumer protection, anti-spam (CAN-SPAM, TCPA), or review-fabrication laws.
- Post misleading, harassing, or discriminatory content to connected profiles.
- Generate fake reviews or incentivize customers to post reviews in exchange for discounts that violate platform policy.
- Reverse-engineer, scrape, or attempt to circumvent the service's technical limits.
- Use HALO to impersonate any business you do not own or have authority over.
Violation of this section may result in immediate account termination with no refund.
8. AI-assisted content and human approval
You acknowledge that AI-generated drafts may occasionally contain errors or tone mismatches. Your review-and-approve workflow is your control mechanism. HALO is not liable for content you have approved that later turns out to be inaccurate.
9. Intellectual property
HALO's software, brand, and documentation remain our property. You retain ownership of your business data, your reviews, your customer data, and any content you create.
By using HALO, you grant us a limited license to process your data solely for the purpose of providing the service.
10. Disclaimers
HALO is provided "as is" and "as available." We make no warranties about uninterrupted service, error-free operation, or fitness for any particular purpose. To the maximum extent allowed by law, we disclaim implied warranties.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability to you for any claim arising from these Terms or your use of HALO is limited to the total fees you paid us in the 3 months preceding the claim.
We are not liable for indirect, consequential, or punitive damages — including lost profits, lost customers, or loss of goodwill.
12. Indemnification
You agree to indemnify and hold Shermar Trades LLC harmless from any claim arising out of your violation of these Terms, your content, or your misuse of the service.
13. Termination by us
We may terminate or suspend your account with written notice if you materially breach these Terms, if we suspect fraud or abuse, or if continuing the service would expose us to legal risk. In such cases, refunds are at our discretion.
14. Changes to these Terms
We may update these Terms. The "Last updated" date above reflects the current version. Material changes will be communicated to active clients by email at least 30 days before taking effect. Continued use of HALO after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Philadelphia County, PA.
